Nevada Llc Needs

A filing with the state is required for all LLCs in Nevada.


The lack of a state income tax on individuals or companies, along with the government's streamlined business formation procedures, makes Nevada one of the nation's most business-friendly environments for owners of limited liability companies (LLCs). Still, the fundamental requirements to form, operate and maintain an LLC within the state mirror LLC requirements everywhere. LLC owners still have to draft and file articles with the state, obtain business licenses and pay federal taxes when appropriate, and update the state each year on the conditions of the company.


Pre-Formation Requirements


In order to successfully set up an LLC in Nevada, there are several preliminary or pre-formation requirements that need to be satisfied. The most important pre-formation requirement, however, is drafting your LLC's articles of organization. The articles of organization provide basic but vital information about your LLC. Under Nevada law, an LLC's articles of organization must include: the name and address of the company, the name and address of a registered agent for the company and the name(s) of the parties who will file for formation. If you can't or don't want to draft your own articles, the Secretary of State provides blank article of organization forms that you can use.


Filing Requirements


The legal formation of an LLC in Nevada is accomplished by filing your articles of organization along with any applicable filing fees with the Secretary or State. In addition to filing the articles with the Secretary, depending on your business and company structure, there may be other filing requirements that must be completed before your LLC can begin to do business. For example, you will be required to inform the IRS whether you want your LLC to be taxed as a partnership or corporation. If you plan to use a "doing business as" (DBA) name, you will need to obtain certification from the county clerk of each county you will be doing business in. If you plan to have employees, you will need to obtain an employee identification number (EIN) from the Internal Revenue Service.


Post-Formation Requirement


The requirements to operate an LLC in Nevada don't end with its formation. There are a number of post-formation requirements that need to be periodically satisfied for the life of the company. You will be required to file an initial "annual list" with the Secretary of State several months after formation and each year thereafter.You will also need to renew any required business licenses or regulatory permits.
